Terms & Conditions
Webly Co. LTD — the terms that govern our website design and development services.
Last updated: 19/08/2026
These Terms & Conditions ("Terms") govern all website design and development services provided by Webly Co. LTD ("we," "us," "the Developer") to any client ("you," "the Client") who engages our services. By approving a quote, signing a project agreement, ticking the "Agree to Terms & Conditions and Privacy Policy" box, or paying a deposit, you agree to these Terms.
1. Services
We provide website design, development, and related digital services as described in the individual proposal, quote, or project agreement issued for each project. These Terms apply alongside, and in addition to, that project-specific agreement. Where the two conflict, the signed project agreement takes precedence.
2. Quotes & Proposals
- Quotes are valid for 30 days from the date issued unless stated otherwise.
- A quote is not a binding commitment until accepted in writing and, where applicable, a deposit is paid.
- Prices are quoted in Great British Pounds (GBP) and exclude VAT unless stated otherwise.
3. Payment Terms
- A non-refundable deposit of 20% is required before work begins, unless otherwise agreed in writing.
- Invoices are due within 14 days of the invoice date.
- Late payments may incur a fee of 3% per month on the overdue balance, and we reserve the right to pause work until payment is received.
- Accepted payment methods: bank transfer, card (including Apple Pay and Google Pay), and PayPal.
- All fees are non-refundable once work has commenced, except where required by law or agreed separately in writing.
4. Client Responsibilities
To keep your project on schedule, you agree to:
- Provide requested content (text, images, logos, branding) by the agreed deadlines
- Respond to requests for feedback and approval within 5 business days
- Ensure any content you supply does not infringe copyright, trademark, or other third-party rights
- Provide access to any accounts (hosting, domain registrar, third-party tools) needed to complete the work
Delays caused by late content, feedback, or approvals may extend the project timeline and are not our responsibility.
5. Revisions & Scope Changes
Each project includes the number of revision rounds specified in the project agreement. Requests that fall outside the agreed scope — including new pages, features, or design directions not part of the original brief — will be quoted and billed separately before work begins.
6. Intellectual Property & Ownership
Ownership of the final website design and custom code transfers to the Client only once full payment has been received. Until then, all work remains our property.
When the care plan is purchased, you are consenting to us having the right to make any changes to the website that are explicitly required by you.
We retain the right to display completed projects in our portfolio and marketing materials unless you request otherwise in writing.
Third-party assets used in your project — such as stock photography, fonts, plugins, and themes — remain subject to their own license terms and are not owned outright by either party. If the care plan is not purchased, you are responsible for any ongoing license or subscription fees for such assets after handover.
7. Hosting & Domains
Unless you purchase the care plan and our proposal states that we manage hosting and domain registration on your behalf, you are responsible for purchasing and maintaining your own hosting and domain. We are not liable for downtime, data loss, or additional costs arising from third-party hosting providers.
8. Post-Launch Support
Unless covered by a separate maintenance agreement, our services end at project handover/launch. A 21-day warranty period applies after launch, covering bug fixes directly related to our original build. This does not include new features, content updates, or issues caused by third-party plugin, theme, or platform updates.
9. Warranties & Disclaimers
We aim to deliver all work to a professional standard consistent with current industry practices. However, we do not guarantee specific business outcomes — including search engine rankings, website traffic, leads, or sales — as these depend on factors outside our control.
10. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising from our services is limited to the total fees paid by you for the relevant project. We are not liable for indirect, incidental, or consequential losses, including loss of profits, data, or business opportunity.
11. Confidentiality & Data Protection
We treat all non-public business information shared with us as confidential and will not disclose it to third parties without your consent, except where required by law. Where we process personal data on your behalf (e.g., via contact forms or analytics), we will handle it in accordance with applicable data protection law UK GDPR.
12. Cancellation & Termination
Either party may terminate an engagement with 14 days' written notice. If you cancel a project already underway, you remain liable for payment for all work completed up to the cancellation date, calculated on a pro-rata or milestone basis. Deposits are non-refundable once work has begun.
13. Force Majeure
Neither party is liable for delays or failure to perform obligations caused by events beyond their reasonable control, including illness, natural disasters, internet or platform outages, or other circumstances outside normal business operations.
14. Changes to These Terms
We may update these Terms from time to time. The version in effect at the time you accept a quote or sign a project agreement applies to that project. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of England. Any disputes will first be addressed through good-faith negotiation before either party pursues formal legal action.
